If you do not agree with any part of these Terms, please refrain from using our services. Continued use of our services implies your unequivocal acceptance of the conditions set forth herein. Acceptance of these Terms is a prerequisite for access to and use of Onnasoft's services. For greater clarity, acceptance may be implicit, for example, by signing a project proposal or logging into one of our platforms.
2. Service Description
Onnasoft is a company specializing in custom software development, the implementation of innovative technological solutions, system integration with Odoo, and comprehensive digital consulting. Our mission is to empower the growth of our clients through personalized, high-quality technological solutions.
Our services include, but are not limited to:
- Custom Software Development: We design, develop, and implement software specific to meet the particular needs of each client. This includes web applications, mobile applications, management systems, and other customized software solutions.
- Technological Solutions: We offer a wide range of technological solutions, including cloud migration, security system implementation, and optimization of existing technological infrastructure.
- Odoo Integration: We are experts in system integration with Odoo, a modular and comprehensive enterprise resource planning (ERP) system. We help our clients implement, customize, and optimize Odoo to improve the efficiency and productivity of their business.
- Digital Consulting: We provide strategic advice on digital transformation, process analysis, and technology selection. Our consultants work closely with clients to identify opportunities for improvement and develop effective strategies.
The specific details of each service – the scope of work, deliverables, timelines, and costs – are agreed upon and documented in writing in a project proposal or a service contract signed between Onnasoft and the Client. This contractual documentation shall prevail over any verbal statements or agreements.
3. Intellectual Property
Onnasoft's website and all its content, including, but not limited to, texts, images, logos, trademarks, icons, graphics, source code, design, and any information or material available on the site (collectively, the “Content”), are the exclusive property of Onnasoft or its licensors, and are protected by applicable intellectual property laws, including, but not limited to, copyright and trademark laws.
Unless expressly stated in writing in a license agreement, the following are strictly prohibited:
- Copying, reproducing, distributing, modifying, creating derivative works of, or using the Content in any manner without prior written authorization from Onnasoft.
- Removing or altering any copyright notices, trademark notices, or other Onnasoft property notices appearing on the Content.
- Using the Content for commercial purposes or for the purpose of obtaining economic benefit without the express authorization of Onnasoft.
The Client retains intellectual property rights to the source code and other creations developed specifically for the Client during the execution of a project, in accordance with the terms set forth in the corresponding service contract. Onnasoft will retain rights to the tools, libraries, and development methodologies used in the process, even if they are integrated into the software delivered to the Client.
4. Acceptable Use
By using Onnasoft's services, you agree to do so in a legal, ethical, and responsible manner. The following are strictly prohibited when using our services:
- Illegal or Fraudulent Activities: Any activity that violates applicable laws or regulations, including, but not limited to, fraud, piracy, drug trafficking, and illegal pornography.
- Interference with Technological Infrastructure: Any action that may disrupt, damage, or interfere with the operation of our servers, networks, or systems, including denial-of-service (DoS) attacks, unauthorized access attempts, and the spread of viruses or malware.
- Unauthorized Access to Third-Party Data or Systems: Attempting to access, use, or disclose confidential or protected information of third parties without their explicit consent.
- Violation of Intellectual Property of Others: Using, distributing, or modifying material protected by copyright, trademarks, or other intellectual property rights without the corresponding authorization.
- Submission of Offensive or Inappropriate Content: Posting or transmitting content that is defamatory, obscene, threatening, harassing, or discriminatory.
We reserve the right, without prior notice, to suspend or cancel access to any User who violates these acceptable use restrictions. In serious cases, we may cooperate with the competent authorities to investigate and prosecute offenders.
5. Responsibilities
Onnasoft is committed to making its best efforts to provide high-quality, stable, and secure services. We strive to ensure the availability of our services, but we cannot guarantee that the website or services will be free of errors, interruptions, or delays.
Limitation of Liability: Onnasoft shall not be liable for:
- Indirect or Consequential Damages: Loss of profits, income, data, or any other indirect or consequential damage arising from the use or inability to use our services.
- Service Errors or Interruptions: Temporary or permanent service interruptions due to factors beyond our control, such as hardware failures, network problems, or cyberattacks.
- User-Generated Content: Content posted or transmitted by Users through our services is the sole responsibility of those Users.
- Actions of Third Parties: The actions or omissions of third parties that may affect the availability or quality of our services.
In no event shall Onnasoft’s total liability exceed the total amount paid by the Client for services rendered during the [Number] months immediately preceding the event that gave rise to the claim.
6. Modifications
Onnasoft reserves the right to modify these Terms at any time and without prior notice. Modifications will be effective from the moment they are published on our website. It is the Client's responsibility to periodically review these Terms to be aware of any changes.
Continued use of our services after the publication of an update to these Terms implies your acceptance of the new conditions. If you do not agree with the modified Terms, you must stop using our services immediately. In the event of substantial changes that significantly affect your rights and obligations, we will endeavor to notify you of such changes by email or other appropriate means of communication.
7. Cancellation and Termination
Both the Client and Onnasoft may cancel a service contract at any time, subject to the conditions agreed upon in the project proposal or signed service contract.
- Cancellation by the Client: The Client may cancel a project before its completion, but may be subject to charges for work already performed, expenses incurred, and possible penalties as stipulated in the contract.
- Cancellation by Onnasoft: Onnasoft may cancel a project if the Client breaches its contractual obligations, such as payment of invoices or provision of information necessary for project execution. In this case, Onnasoft will be entitled to claim corresponding damages.
In the event of contract termination, the Client shall pay Onnasoft for all services rendered and expenses incurred up to the date of termination. It must also return to Onnasoft any confidential information that has been provided to it.
8. Applicable Law and Dispute Resolution
These Terms are governed and interpreted in accordance with the laws of Colombia. In the event of a dispute, efforts will be made to resolve it amicably through direct negotiation between the parties. If direct negotiation does not lead to a satisfactory solution, the parties agree to submit the dispute to binding arbitration in accordance with the rules of the Bogotá Chamber of Commerce. The arbitration shall take place in the city of Bogotá, Colombia, and the language of arbitration shall be Spanish.
